ThreatLedger End User License Agreement (EULA)

IMPORTANT
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE INSTALLING, ACCESSING, OR USING THREATLEDGER SOFTWARE.
BY INSTALLING, COPYING, ACCESSING, OR USING THREATLEDGER, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL OR USE THE SOFTWARE.
- Definitions
ThreatLedger means the ThreatLedger software application, documentation, updates, and associated materials provided by ACD Pillars Cyber Solutions LLC.
Licensee means the individual, organization, or entity that has obtained a valid license to use ThreatLedger.
Authorized User means an individual permitted by Licensee to access and use ThreatLedger.
- Grant of License
Subject to compliance with this Agreement and payment of applicable fees, ACD Pillars Cyber Solutions LLC grants Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to:
Install ThreatLedger on authorized systems. Use ThreatLedger for internal business purposes. Permit Authorized Users to access and use ThreatLedger within licensed limits.
No ownership rights are transferred under this Agreement.
- License Limitations
Licensee shall not:
Reverse engineer, decompile, or disassemble the software except where prohibited by law. Modify, adapt, or create derivative works of ThreatLedger. Rent, lease, sublicense, sell, or distribute ThreatLedger. Remove or alter copyright, trademark, or licensing notices. Circumvent licensing, activation, or usage restrictions. Use ThreatLedger in violation of applicable laws or regulations. 4. License Validation
ThreatLedger may use licensing mechanisms to validate authorized use.
Licensee agrees not to tamper with, disable, or bypass licensing controls.
ThreatLedger licenses may be tied to installation-specific or machine-specific identifiers.
- Ownership
ThreatLedger and all associated intellectual property rights are owned exclusively by ACD Pillars Cyber Solutions LLC.
This Agreement grants a license to use the software and does not transfer ownership.
- Customer Data
ThreatLedger processes data supplied by Licensee.
Licensee retains ownership of its data, including:
Vulnerability scan data Compliance assessment data Asset inventory data Reports generated from customer-provided information
ACD Pillars Cyber Solutions LLC claims no ownership interest in customer data.
- Privacy
ThreatLedger is designed primarily as an on-premises application.
Unless separately agreed, ThreatLedger does not transmit customer scan data, findings, or reports to ACD Pillars Cyber Solutions LLC.
License validation may require transmission of limited licensing information.
- Support and Updates
Support, maintenance, updates, and upgrade rights are governed by the applicable purchase agreement or subscription terms.
ACD Pillars Cyber Solutions LLC is under no obligation to provide updates unless separately agreed.
- Disclaimer of Warranties
THREATLEDGER IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACD Pillars Cyber Solutions LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
MERCHANTABILITY FITNESS FOR A PARTICULAR PURPOSE NON-INFRINGEMENT ACCURACY OF RESULTS UNINTERRUPTED OPERATION
LICENSEE ASSUMES ALL RISK ARISING FROM USE OF THE SOFTWARE.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACD Pillars Cyber Solutions LLC SHALL NOT BE LIABLE FOR:
INDIRECT DAMAGES INCIDENTAL DAMAGES SPECIAL DAMAGES CONSEQUENTIAL DAMAGES LOST PROFITS LOST DATA BUSINESS INTERRUPTION
IN NO EVENT SHALL ACD Pillars Cyber Solutions LLC'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE DURING THE TWELVE MONTHS PRECEDING THE CLAIM.
- Compliance Responsibility
ThreatLedger assists with vulnerability management, compliance assessment, and reporting.
ThreatLedger does not guarantee regulatory compliance, accreditation, certification, or audit success.
Licensee remains solely responsible for compliance decisions and actions.
- Termination
This Agreement terminates automatically if Licensee breaches its terms.
Upon termination, Licensee shall cease use of ThreatLedger and destroy or remove all licensed copies, except where retention is required by law.
- Third-Party Software
ThreatLedger includes third-party software components subject to their respective licenses.
Additional information is provided in Third-Party Notices.
- Governing Law
This Agreement shall be governed by the laws of the State of North Carolina, without regard to conflict-of-law principles.
Any disputes arising under this Agreement shall be resolved in the courts of North Carolina.
- Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding ThreatLedger and supersedes prior discussions, understandings, or agreements relating to the software.
